These Terms and Conditions ("Terms") form a legally binding agreement between Redefine Technologies Inc. ("we," "us," "our," the "Platform," or "FellaRide") and all users ("you," "Users," "Drivers," "Passengers") of the FellaRide.com platform and mobile applications (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you may not use the Service.
· Platform: FellaRide.com and related apps, services, and technology owned by Redefine Technologies Inc.
· Driver: A user offering seats in their vehicle for carpooling.
· Passenger: A user booking a seat offered by a Driver.
· Carpooling: Non-commercial shared transportation where the Driver and Passenger mutually agree to share a ride and cost contribution without profit motive.
· User Content: Information, profile details, ride listings, and communications posted or shared by users on the Platform.
· Community: A trusted circle or group within the Platform (e.g., employer-based, location-based) where users can share rides with verified members.
· Verified User: A user who has completed identity verification through Persona or email/phone verification.
· Ride: A specific carpooling trip from a pickup location to a destination at a scheduled time.
3. Eligibility and Account Registration
To use the Platform:
· Age Requirement: You must be at least 18 years of age or the age of majority in your province, whichever is greater, and be capable of entering into a legally binding agreement.
· Driver Requirements: Drivers must:
o Hold a valid Canadian driver's license (provincial or territorial)
o Maintain all legally required automobile insurance, including personal liability, accident benefits, and property damage coverage
o Ensure their insurer permits carpooling under their policy (FellaRide does NOT provide insurance)
o Have a vehicle registered in their name or have the owner's written permission to offer it for carpooling
· Accuracy of Information: You must provide accurate, complete, and current account information and update it promptly if any information changes.
· Verification: Redefine Technologies Inc. may perform identity verification, driving record checks, insurance verification, background checks, or Persona verification (identity and liveliness verification) where permitted by law. Persona verification is optional but recommended for drivers to increase their chances of being accepted by passengers.
· Community Limits: To maintain a high-quality and seamless experience, FellaRide limits the number of communities a user may join. Users are encouraged to participate only in communities relevant to their interests. Each community is subject to a maximum membership capacity, which may be defined and modified from time to time based on user feedback, platform performance, and community engagement.
Transportation Marketplace, Not a Carrier
FellaRide operates as a technology marketplace that enables individuals to connect for non-commercial carpooling. It does not provide transportation services.
Specifically:
Accordingly, FellaRide functions as a neutral technology intermediary, similar to a classified or matching service, and does not meet the legal definition of a transportation carrier, taxi service, or rideshare operator under Canadian or provincial law.
All users agree to:
· Comply with Laws: Comply with provincial traffic laws, Highway Traffic Acts, municipal carpooling regulations, local transportation bylaws, and all applicable federal and provincial laws.
· Non-Commercial Use: The Platform is strictly limited to non-commercial, cost-sharing carpooling. Commercial use, including taxi, limousine, rideshare-for-profit, or any activity intended to generate business or financial gain, is prohibited. FellaRide reserves the right to suspend or permanently bar users engaged in such misuse and to report violations to applicable regulatory or enforcement authorities.
· Respectful Conduct: Maintain respectful, courteous behavior toward other users, drivers, and FellaRide staff.
· Accurate Information: Never post false, illegal, discriminatory, harmful, offensive, or misleading content.
· Safety: Not engage in behavior that could endanger other users, such as reckless driving, driving under the influence of drugs or alcohol, or distracted driving.
· Communication: Use the Platform's communication tools appropriately and not for harassment or abuse.
· Accurate Ride Details: When posting or searching for rides, provide accurate pickup locations, drop-off locations, departure times, and destination information.
· Timely Cancellations: Cancellations impact the plans of both Drivers and Passengers. Users are expected to act responsibly and cancel rides promptly if plans change. Repeated or careless cancellation behavior may result in account suspension or removal from the Platform.
· Users are solely responsible for safeguarding their personal and financial information. Under no circumstances should users disclose sensitive information, including payment card details, banking information, authentication credentials, or identity documents, to other users.
· Fellaride does not monitor, verify, or secure user-to-user communications outside the platform and shall not be liable for damages, losses, or disputes arising from the disclosure of such information
· Cost Sharing: Drivers may set or accept a cost contribution within limits defined by the Platform for fair and reasonable carpooling.
· Minimum Fare: To ensure fair compensation, FellaRide recommends a minimum fare of $5 per ride (including stops/multi-leg rides).
· Per-Kilometer Rate: Fellaride recommends a cost-sharing amount of $0.20/km to help drivers recover shared travel expenses. This is a guideline only and is not intended to create profit or commercial transportation. Any recommended per-kilometer rate provided by Fellaride is for informational purposes only and reflects a cost-sharing model consistent with Canadian carpooling practices.
· Payment Processing: Redefine Technologies Inc. may charge service, processing, or transaction fees, which will be disclosed at the time of booking.
· Payment Method: FellaRide will be introducing a secure in-app payment system in the near future. Until it is available, all ride payments are arranged directly between Drivers and Passengers using cash or other mutually agreed methods. Users should exercise caution and avoid sharing sensitive financial information to reduce the risk of fraud.
· Drivers – Cost-Sharing Only: Drivers may receive cost-sharing contributions only and must never profit from rides to comply with Canadian carpooling regulations.
· Reasonable Notice: Drivers must give reasonable notice for cancellations. Repeated cancellations may result in account suspension or removal from the Platform.
· Past-Date Requests Auto-Expiry: Ride requests for dates in the past will automatically expire and will not appear on the Platform.
· Ride availability is based on user participation and is not guaranteed.
· The Platform does not guarantee ride availability, punctuality, completion, or that a suitable match will be found.
· Users understand that carpooling is dependent on the Driver's personal schedule and discretion.
· Drivers and Passengers may cancel rides at any time, subject to the terms of this Agreement.
To the fullest extent permitted by Canadian law:
· Redefine Technologies Inc. is not liable for any injuries, collisions, accidents, personal harm, misconduct, or property damage arising from rides or user interactions.
· Redefine Technologies Inc. is not responsible for lost belongings, payment disputes, payment fraud, delays, route choices, cancellations, or incompatibility between users.
· Users acknowledge and agree that they participate in carpooling at their own risk.
· Location Sharing Privacy: Location sharing is available only during Enroute rides and is shared solely with co-passengers participating in the same ride who have location sharing enabled. Users may enable or disable location sharing at any time during the ride. If a user disables location sharing, they will no longer be able to access the location of other ride participants. Location sharing ends when the ride is completed or when a user turns it off.
· Personal Belongings: Passengers are solely responsible for their personal belongings. Neither Redefine Technologies Inc. nor Drivers assume any liability for loss, theft, or damage to personal items left in vehicles.
Users agree to indemnify, defend, and hold harmless Redefine Technologies Inc., its directors, officers, contractors, employees, and agents from any claims, damages, legal actions, losses, or liabilities (including attorneys' fees) arising from:
· Their use or misuse of the Platform
· Violations of these Terms or any applicable laws
· Incidents occurring during a ride (including injuries, accidents, or property damage)
· Disputes with other users
· Non-compliance with verification requirements or provision of false information
· Any breach of the Drivers' responsibilities regarding vehicle safety or insurance
Drivers specifically indemnify Redefine Technologies Inc. for claims arising from:
· Driving behavior or traffic violations
· Vehicle safety issues or mechanical failures
· Insurance violations or lapsed insurance
· Damages or injuries caused during a ride
10. Privacy and Data Protection
Redefine Technologies Inc. collects and processes personal data in alignment with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws.
We collect personal information such as:
· Contact details (Photo, name, email, phone number)
· FellaRide collects only limited identification metadata, specifically the type of ID and its expiry date. All identity documents and verification data are processed and securely stored by our third-party identity verification provider, Persona. FellaRide does not store copies of identity documents.
· FellaRide does not collect or store payment card or banking information. All payment transactions and related financial data are securely processed and stored by our third-party payment processor, Stripe, in accordance with applicable security and data protection standards.
· Location data (for ride matching and navigation)
· Vehicle Data
· Profile information and ratings
· Emergency contact (Phone Number) information
Our Practices:
· We use secure encryption and data storage practices to protect your information.
· We share only necessary ride-related information with matched Users during the trip.
· We do not sell user data to third parties.
· Users have the right to access, correct, or delete their personal information as permitted by law.
· For SMS notifications and phone number verification, message and data rates may apply. Users consent to receive one-time passcodes (OTP) via SMS for verification purposes. By providing your mobile number, you consent to receive OTP messages.

All Platform content, branding, code, features, trademarks, logos, and materials are the exclusive property of Redefine Technologies Inc. or our licensors.
Users receive a limited, non-exclusive, revocable license to use the Platform for personal, lawful carpooling purposes. You may not:
· Reproduce, modify, or distribute Platform content without permission
· Use the Platform for commercial purposes
· Attempt to reverse-engineer or access the Platform's source code or systems
· Purpose: Persona verification allows Drivers and Passengers to verify their identity and liveness through identity document verification and a selfie.
· Drivers: Driver verification is highly recommended and may increase your chances of being accepted by Passengers.
· Passengers: Identity verification is optional but recommended to increase trust.
· Badges: Upon successful verification, users receive verification badges displayed on their profile (e.g., "Verified User," "Verified Driver," "Email Verified," "Phone Verified").
· Expiry: Verification documents have expiry dates based on the document's validity. Users will be notified 30, 15, and 1 day before expiry and must re-verify to maintain their verification status.
· Cost: Persona verification is processed through a third-party verification service and may incur fees. Users will be informed of any costs before proceeding.
· Users must verify their email address and phone number during registration.
· Verification badges indicate successful email and phone number verification on profiles.
13. Ride Details and Accuracy-
· When posting a ride, you must provide accurate pickup locations, drop-off locations, departure times, and destinations.
· When searching for a ride, you must provide accurate information about your desired route and timeframe.
· Inaccurate information may result in ride requests being cancelled and your account being flagged or suspended.
Driver-Initiated Cancellations
· Drivers must provide reasonable notice if cancelling a posted ride.
· Passengers will be notified of cancellations through app alerts, emails or SMS
· Repeated cancellations (within a defined period) may result in account suspension.
Passenger-Initiated Cancellations
· Passenger/s must provide reasonable notice if cancelling a posted ride
· Drivers will be notified of cancellations through app alerts, emails or SMS
· Repeated cancellations (within a defined period) may result in account suspension.
· Ride requests for past dates (dates that have already passed) will automatically expire and will not be visible on the Platform or will be archived.
· Users cannot accept or decline ride requests for past-date rides; these requests will be automatically removed.
· In-App Reporting: Disputes between Drivers and Passengers must first be addressed through the Platform's in-app reporting feature.
· Communication: Use the chat functionality within the Platform to communicate and attempt to resolve issues.
· Platform Assistance: Redefine Technologies Inc. may assist in resolving disputes but is not obligated to mediate or arbitrate between users.
· Support Contact: For unresolved disputes, contact support@fellaride.com with detailed information about the incident, including ride details, screenshots, and a description of the issue.
· Jurisdiction and Governing Law: Unresolved legal disputes shall be governed by the laws of Ontario, Canada, and will be resolved through arbitration or the courts of Ontario.
Redefine Technologies Inc. may modify these Terms at any time. Material changes will be communicated to users via email or in-app notification. Your continued use of the Platform after updates constitutes acceptance of the revised Terms.
17. Termination and Account Suspension
Redefine Technologies Inc. may suspend or terminate any user account immediately and without notice for:
· Violations of these Terms
· Unsafe, fraudulent, illegal, or abusive behavior
· Failure to comply with verification requirements
· Providing false or misleading information
· Abusive or harassing conduct toward other users, Drivers, Passengers, or FellaRide staff
· Repeated cancellations
· Driving under the influence or reckless driving
· Non-compliance with insurance or licensing requirements (Drivers)
· Community removal (if removed from a community for policy violations, users cannot rejoin that community; however, users who leave a community voluntarily may rejoin)
Upon account termination:
· Access to the Platform is immediately revoked
· All rides pending may be cancelled
· Users may not create a new account using the same email or phone number (unless approved by FellaRide) or using alternate information for a same user
Redefine Technologies Inc. is not liable for service interruptions due to events outside its control, including but not limited to:
· Natural disasters, weather events, or pandemics
· Network or internet failures
· Government actions or regulations
· Third-party service provider failures
· Strikes, wars, or other extraordinary events
19. Safety and Emergency Features
· SOS Feature: FellaRide includes an SOS button accessible during active rides to notify the user’s designated emergency contact. The SOS feature is not a substitute for emergency services and does not contact police, ambulance, or other authorities. If immediate assistance is required, users must call 911. Message delivery may be affected by factors such as mobile network coverage, device connectivity, or battery status.
· Liability: While FellaRide provides an SOS feature, the Platform is not liable for emergency response delays or outcomes.
· Global Communities (GLOBAL): Open to all users in specified geographic areas.
· Organizational Communities (ORG): Trusted communities that users may join by verifying an organizational email address. These communities are not operated or managed by employers and are intended to connect users with shared organizational or professional affiliations. An Organizational Community may allow multiple verified organizational email domains, such as companies within a business park or financial institutions within a geographic area.
· Moderator Communities (MOD): Communities administered by appointed moderators who approve or reject join requests and may remove members. These communities may be established for private events, concerts, festivals, or other limited-access activities and are accessible only to approved participants.
· Open Communities: Communities that users may join freely without secondary authentication or moderator approval, provided the community has available capacity. Open Communities are designed to connect users with shared interests, such as Maple Leafs fans, baseball fans, music lovers, or travelers.
· Users may join a maximum of 5 communities.
· Community managers or moderators may set specific rules, eligibility criteria, and community policies.
· Users removed from a community for policy violations may not be permitted to rejoin that community.
· Users who leave a community voluntarily may rejoin if they meet the community's criteria.
· Users joining or leaving a community will receive email and in-app notifications.
· When a user leaves a community or is removed by a moderator, all active rides and ride requests created by that user are automatically cancelled, and affected users are notified.
Community Chat and Ride Sharing
· Communities may have community chat forums for members to discuss and coordinate rides.
· Group chat is available only for Organizational, Moderator-controlled and open communities.
· Users may share ride details and links within community chats (with limitations on message frequency).
· Users may be able to rate limit community posts (e.g., 60 messages per hour) to prevent spam.
21. Notifications and Communication
· Notification Types: FellaRide sends push notifications, in-app notifications, and email notifications regarding rides, requests, communities, and account updates.
· Notification Content: Notifications include ride details, request status updates, community notifications, and verification reminders.
· Community Prefix: Notifications clearly indicate which community a notification belongs to (e.g., "GLO - FellaRide," "ORG - Community Name") to avoid confusion.
· Unsubscribe Options: Users can control notification preferences (push, SMS, email) from the Settings menu. Each email includes "HELP" and "Unsubscribe" options. Replying "HELP" directs users to support@fellaride.com; replying "STOP" unsubscribes from marketing emails.
· SMS Regulatory Compliance: SMS messages include the footer: "Reply HELP for help or STOP to unsubscribe.

These Terms, along with our Privacy Policy and any additional guidelines published on the Platform, constitute the entire agreement between you and Redefine Technologies Inc. regarding your use of the Service. Any prior agreements, understandings, or negotiations are superseded by these Terms.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it valid, or if that is not possible, it will be severed. The remaining provisions will continue in full force and effect.
This section supplements the General Terms above.
Drivers must:
· Be the age of majority in their province
· Hold a valid Canadian driver's license (provincial or territorial)
· Use only vehicles legally registered in their name or have written permission from the registered owner
· Maintain all mandatory automobile insurance, including:
o Personal liability coverage
o Accident benefits coverage
o Property damage coverage
· Ensure their insurance provider explicitly permits carpooling under their policy
· Understand that FellaRide does NOT provide any insurance of any kind
· Undergo verification checks (identity, driving record, insurance verification, background checks, or Persona verification) as required
The vehicle must be:
· Roadworthy, properly maintained, and clean
· Equipped with functioning seatbelts for all occupants
· Registered and inspected in compliance with provincial regulations
· Not used for commercial ride-for-hire operations (unless explicitly permitted by insurance and local law)
· Listed with accurate details (make, model, year, color, license plate, number of available seats)
· Properly configured with vehicle preferences and amenities (amenities are not auto-enabled and must be manually configured before posting each ride)
Drivers agree to:
· Obey all traffic laws and maintain safe driving behavior at all times
· Never drive under the influence of drugs, alcohol, or substances that impair driving ability
· Avoid distracted driving (hands-free devices only)
· Ensure all passengers are wearing seatbelts before the ride begins
· Follow posted carpool lane rules and local transportation bylaws
· Not overload the vehicle beyond manufacturer specifications or legal limits
· Provide accurate, complete ride information (pickup location, drop-off location, departure time, vehicle details, number of seats available)
· Respond to passenger requests in a timely manner
· Start rides on time or provide advance notice if delayed
· Maintain professional, respectful conduct toward all passengers
· Report safety concerns or suspicious passenger behavior to FellaRide support
· End the ride and stop location sharing promptly upon reaching the final destination
· Drivers may receive only cost-sharing contributions from passengers to comply with Canadian carpooling regulations
· Drivers must never profit from rides
· All payments and related issues are handled directly between users, and Fellaride is not responsible for any payment disputes, errors, or fraud.
· Drivers are responsible for tracking their own income and tax obligations
· FellaRide does not handle tax reporting or provide tax advice
· Drivers must provide reasonable notice before cancelling a posted ride
· Repeated cancellations within a defined period may result in:
o Account warnings
o Temporary account suspension
o Permanent account termination
6. Driver Liability and Indemnification
· Full Responsibility: The Driver is fully responsible for the safety of the vehicle and all passengers during the ride
· No Platform Liability: Redefine Technologies Inc. is not liable for collisions, injuries, damages, property loss, or legal claims arising during a ride
· Driver Indemnification: Drivers must indemnify and hold harmless Redefine Technologies Inc. for claims or damages arising from:
o Driving behavior, traffic violations, or reckless driving
o Vehicle safety issues, mechanical failures, or maintenance problems
o Insurance violations, lapsed coverage, or insufficient insurance
o Misconduct, harassment, or abuse toward passengers
o Damages caused to passengers or their belongings during a ride
o Violations of carpooling regulations or local transportation laws
Redefine Technologies Inc. may suspend or terminate a Driver's account for:
· Unsafe or reckless driving (including driving under the influence)
· Safety complaints from passengers
· Verified policy violations or non-compliance with Terms
· Incorrect, fraudulent, or false driver/vehicle information
· Failure to maintain required insurance or valid driver's license
· Lapsed vehicle registration or inspection
· Repeated cancellations or no-shows
· Abusive, harassing, or inappropriate behavior toward passengers or staff
PASSENGER TERMS AND CONDITIONS
This section supplements the General Terms above.
Passengers agree to:
· Arrive on time at the designated pickup point (Drivers may leave if you are more than [5] minutes late)
· Wear seatbelts at all times during the ride
· Maintain respectful, courteous behavior toward the Driver and fellow passengers
· Not distract the Driver or engage in unsafe conduct
· Not bring illegal items, hazardous materials, weapons, or prohibited substances into the vehicle
· Not smoke, vape, drink alcohol, or use drugs in the vehicle
· Not request unsafe driving practices, unauthorized route changes, or detours
· Communicate clearly regarding stops, final destination, and special requirements
· Report safety concerns or Driver misconduct to FellaRide support
· Exit the vehicle promptly at the final destination
· Passengers are solely responsible for their personal belongings
· Redefine Technologies Inc. and Drivers assume no liability for loss, theft, or damage to personal items left in vehicles
· Passengers should not leave valuable items unattended in vehicles
. Passenger Cancellations and Refunds
· All payments and related issues are handled directly between users (drivers and passengers), and Fellaride is not responsible for any payment disputes, errors, or fraud.
· Repeated cancellations may result in account suspension
4. Passenger Conduct and Safety
Passengers must not:
· Harass, abuse, or discriminate against Drivers or fellow passengers
· Smoke, vape, drink alcohol, or use drugs in the vehicle
· Request unsafe driving, illegal activities, or unauthorized detours
· Use obscene language, make threats, or behave aggressively
· Damage the vehicle or Driver's property
· Disrupt the ride or refuse to exit at the final destination
Misconduct Consequences: Violations may result in immediate account suspension or termination.
5. Liability and Acknowledgments
Passengers acknowledge that:
· Carpooling inherently involves risk
· Redefine Technologies Inc. is not responsible for Driver behavior, accidents, delays, route decisions, or ride quality
· Claims arising from road incidents, injuries, or property damage must be directed to the Driver or their insurance provider
· Passengers participate in carpooling at their own risk
This Terms and Conditions document is provided by Redefine Technologies Inc. for users of the FellaRide platform. These Terms are legally binding upon acceptance. Users should review these Terms carefully and contact legal counsel if they have questions.
Redefine Technologies Inc. reserves the right to update these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.
